1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Vouch Technologies ("Vouch", "we", "us", or "our") governing your access to and use of the Vouch platform, including our website at vouchcompliance.com, web application, APIs, AI-powered compliance agents, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" and "your" shall refer to that organisation.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of the Service
Vouch is an AI-agent-native ESG (Environmental, Social, and Governance) compliance platform designed for small and medium-sized enterprises (SMEs) operating within European supply chains. The Service provides:
• Automated carbon emissions calculation and Scope 1, 2, and 3 reporting
• AI-powered assistance with sustainability questionnaires (including EcoVadis)
• Regulatory compliance monitoring and gap analysis
• Integration with accounting platforms (Xero, QuickBooks, Sage, DATEV)
• Supplier questionnaire management and supply chain ESG assessment
• AI-generated compliance documentation and recommendations
• Data validation and audit trail functionality
3. Account Registration and Security
To access the Service, you must create an account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at
[email protected] if you become aware of any unauthorised access to or use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.
You may invite additional users to your organisation's account. You are responsible for ensuring that all users within your organisation comply with these Terms.
4. Subscription Plans and Payment
Vouch offers subscription-based access to the Service. Current plan details and pricing are available at vouchcompliance.com/pricing. By selecting a plan, you agree to pay the applicable fees as displayed at the time of subscription.
Payment processing: All payments are processed securely through Stripe. Vouch does not store your payment card details.
Automatic renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 30 days before the renewal date.
Refunds: If you are unsatisfied with the Service within the first 14 days of your initial subscription, you may request a full refund by contacting
[email protected]. Refunds are not available after this period or for renewal payments.
Price changes: We may adjust pricing with at least 60 days' written notice. Price changes take effect at the next renewal period.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
• Use the Service to violate any applicable law or regulation, including GDPR, the EU Corporate Sustainability Reporting Directive (CSRD), or any other environmental or data protection legislation
• Submit false, misleading, or fraudulent data to the platform, including fabricated emissions data or compliance information
• Attempt to gain unauthorised access to the Service, other accounts, or related systems or networks
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Use the Service to develop a competing product or service
• Resell, sublicense, or redistribute access to the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means (bots, scrapers) to access the Service beyond the intended API usage
6. Data Ownership and Content
Your data: You retain all ownership rights in the data you upload, input, or generate through the Service ("Customer Data"). You grant Vouch a limited, non-exclusive licence to process Customer Data solely for the purpose of providing and improving the Service.
AI-generated content: Reports, recommendations, gap analyses, and other outputs generated by our AI agents ("AI Outputs") are provided as tools to assist your compliance efforts. You own the AI Outputs generated from your Customer Data, but you are solely responsible for reviewing, verifying, and approving any AI Output before relying on it or submitting it to third parties.
Accuracy disclaimer: While our AI agents are designed to provide accurate and helpful compliance assistance, AI Outputs may contain errors or omissions. Vouch does not guarantee the accuracy, completeness, or suitability of AI Outputs for any particular regulatory purpose. You should seek professional advice where appropriate.
Aggregated data: We may use anonymised and aggregated data derived from Customer Data for the purposes of improving the Service, conducting research, and generating industry benchmarks, provided that such data cannot be used to identify you or your organisation.
7. Third-Party Integrations
The Service allows you to connect third-party accounting and business platforms. By connecting a third-party integration, you authorise Vouch to access and retrieve data from that platform on your behalf in accordance with our Privacy Policy.
You are responsible for ensuring that your use of third-party integrations complies with the applicable third party's terms of service. Vouch is not responsible for the availability, accuracy, or functionality of third-party services.
You may disconnect any third-party integration at any time through your Vouch dashboard. Upon disconnection, we will cease accessing data from that platform and will delete stored integration tokens within 30 days.
8. Intellectual Property
The Service, including all software, algorithms, AI models (as integrated), user interfaces, designs, trademarks, and documentation, is the exclusive property of Vouch Technologies or its licensors and is protected by intellectual property laws.
These Terms do not grant you any rights to use the Vouch name, logo, or trademarks without our prior written consent. Nothing in these Terms transfers ownership of any intellectual property from Vouch to you, except as expressly stated regarding Customer Data and AI Outputs.
9. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to any third party without prior written consent, except as required by law or as necessary to perform obligations under these Terms.
Confidential information includes, without limitation, Customer Data, business plans, pricing, technology, and any information designated as confidential. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
• Vouch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Service
• Vouch's total aggregate liability under these Terms shall not exceed the total fees paid by you to Vouch in the twelve (12) months preceding the event giving rise to the claim
• Vouch is not liable for any regulatory penalties, fines, or sanctions imposed on you as a result of your reliance on AI Outputs or the Service
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Vouch has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
11. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VOUCH SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Vouch does not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any AI Output will be accurate, complete, or compliant with any particular regulatory framework. The Service is a compliance assistance tool and does not constitute legal, financial, or professional advice.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vouch and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
• Your use of the Service in violation of these Terms
• The submission of false, misleading, or inaccurate data to the Service
• Your reliance on AI Outputs without appropriate professional review
• Any violation of applicable laws or regulations in connection with your use of the Service
• Any claim by a third party arising from your use of the Service or Customer Data
13. Termination
Either party may terminate these Terms at any time by providing 30 days' written notice to the other party. You may cancel your subscription through your account settings or by contacting

Vouch may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe may cause harm to Vouch, other users, or third parties.
Upon termination, your right to access the Service ceases immediately. You may request export of your Customer Data within 30 days of termination. After 30 days, we will delete your Customer Data in accordance with our Privacy Policy and data retention schedule, except where retention is required by law.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vouch Technologies is incorporated, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith negotiation between the parties. If the dispute is not resolved within 30 days, either party may submit the dispute to binding arbitration or the competent courts of the governing jurisdiction.
Nothing in this clause prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you must discontinue your use of the Service and cancel your subscription before the changes take effect.
16. General Provisions
Entire agreement: These Terms, together with the Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and Vouch regarding the Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Vouch may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Force majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, pandemics, government actions, or failures of third-party services.
Notices: All notices under these Terms shall be sent to the email address associated with your account (for notices to you) or to
